Members of the The Institute of Company Secretaries of India (ICSI) have been one of the professionals who in one or another way are connected with the ESOP implementation by the companies, the most prominent connects being the disclosure/ compliance/ stakeholder-relationship aspects.

We endeavor from time to time to get engaged with the Company Secretaries in employment and in practice for exchange of knowledge. As such, we got one such opportunity at Gurgaon Chapter of ICSI to have an interactive session on “𝗔𝗻 𝗼𝘃𝗲𝗿𝘃𝗶𝗲𝘄 𝗼𝗻 𝘁𝗵𝗲 𝗸𝗲𝘆 𝗮𝘀𝗽𝗲𝗰𝘁𝘀 𝗼𝗳 𝗘𝗺𝗽𝗹𝗼𝘆𝗲𝗲 𝗦𝘁𝗼𝗰𝗸 𝗢𝗽𝘁𝗶𝗼𝗻 𝗣𝗹𝗮𝗻𝘀 (“𝗘𝗦𝗢𝗣𝘀”) & 𝗩𝗮𝗿𝗶𝗮𝗻𝘁𝘀” which was concluded on January 30, 2024 with the presence of many members of ICSI. The aspects covered were basic understanding of ESOPs, Key stakeholders' expectations, Stages/ decision making points/issues, Regulatory framework (Unlisted & Listed) covering ESOP Trust/ Insider Trading/ Accounting/ Tax / FEMA with special emphasis on the disclosure aspects.

In line with the guideline issued by IRDAI titled, “Insurance Regulatory and Development Authority of India (Remuneration of Key Management Persons of Insurers) Guidelines 2023'', insurance companies will be required to undertake Fair Valuation using Black Scholes Methodology for deriving the equity linked compensation forming a part of the variable pay for the subjected employees.

Through our entity, KP Capital Advisors Pvt Ltd., which is a SEBI registered Category I Merchant Banker, we provide the requisite Black Scholes valuation under a certificate. Incase, you are unlisted we can also help you with Share Valuations as will be required to undertake this exercise.
